NNOXX, Inc. Affiliate Program Terms and Conditions
1. Agreement: This agreement describes the terms and conditions for participation in the NNOXX, Inc. Affiliate Program (the “Program”). The terms "Affiliate," "you," and "your" are referring to you, the applicant. "We," "our," and "us" refer to NNOXX, Inc. Nnoxx and Affiliate are independent parties, and this agreement will not form any partnership between you and Nnoxx, Inc. nor will it create any joint venture between you and Nnoxx, Inc.
2. Affiliate Obligations: As an affiliate, you agree to use the Refersion Inc. platform and follow all rules, protocols, policies, procedures, terms and conditions provided by and required by Refersion Inc. You are responsible, in all ways, including legal compliance, for your own website, email, social media presence and other online activity.
2.1 Marketing Guidelines: You agree to use only ethical and legal promotional methods when marketing our products. These methods should not include unsolicited commercial email, unauthorized placement of links, or any other form of illegal or unethical behavior. All promotional, marketing and advertising activities must comply with all applicable laws and regulations. You agree to make all necessary disclosures required by applicable law and regulations relating to promotional, advertising, and marketing activities and understand that we disclaim all liability for your actions on your website, via your email address, on your social media platforms and via any other online activity.
3. Data Protection and Privacy: You understand that handling personal data carries certain responsibilities. You agree to comply with all data protection laws and regulations, including the General Data Protection Regulation (GDPR). You agree to, at all times, maintain a privacy policy on your website that clearly discloses that you are an affiliate of Nnoxx, Inc. and receive compensation from us. You also agree to, at all times, be incompliance with our privacy policy that is listed on our website at https://www.nnoxx.com/privacy-policy. We may update the terms and conditions of our privacy policy from time to time without providing notice to you.
4. Intellectual Property Rights: NNOXX, Inc. retains all rights, ownership, and interest in and to the promotional materials and our intellectual property, including, but not limited to, our trademarks. You will not make any claim to ownership of the promotional materials or our intellectual property.
5. Approval or Rejection of the Application: We reserve the right to approve or reject any Affiliate Program Application in our sole and absolute discretion.
6. Referral Tracking: NNOXX, Inc. will be solely responsible for tracking customer referrals via a cookie placed on the customer's computer which links to Refersion Inc. Refersion Inc. will provide you with specific links which will hyperlink to the NNOXX, Inc. website. You must ensure that each of the links between your website, email, social media platform, etc., as applicable, and ours properly utilizes such specialized link formats provided by Refersion Inc.
7. Commissions: Commissions will be paid once your affiliate earnings reach a minimum threshold of [amount] via Refersion Inc. A commission will be earned when a customer completes a purchase via your specific affiliate link. Commission will be paid to you solely on the checkout price for a customer, not on any recurring payments or future purchases by that customer. Rates may be changed at any time by Nnoxx, Inc., and you will be notified of any changes. You will be paid a commission of ___________.
8. Payment: The Affiliate will be paid on a monthly basis. If a product that generated a referral fee is returned by a customer, the referral fee for that product will be deducted from the next payment.
9. Liability: TO THE MAXIMUM EXTENT NOT PROHIBITED BY APPLICABLE LAW, IN NO EVENT SHALL NNOXX, Inc. be liable for any damages or losses (including, but not limited to incidental, special, indirect or consequential damages (including without limitation damages for loss of profits, revenue, or commissions)) due to affiliate tracking failures, loss of database files, or any claims related to Affiliate’s participation in the Program. Nnoxx, Inc.’s liability shall be limited to paying commissions owed to Affiliate under this Agreement.
10. Term and Termination: Either party has the right to terminate the agreement immediately within its discretion upon providing notice to the other party of its intent to terminate. If the Affiliate terminates the agreement, no further commissions from NNOXX, Inc. will be paid for any past or future customer transactions.
11. Modification: We may modify any of the terms and conditions within this agreement at any time and at our sole discretion.
12. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Delaware.
Affiliates: Please read this agreement carefully. By signing up for the NNOXX, Inc. Affiliate Program, you indicate your acceptance of this agreement and its terms and conditions.
